PropGuard Terms of Use

Welcome to PropGuard

These Terms of Use ("Terms") govern your access to and use of the PropGuard web application, including all related features, tools, dashboards, analytics, journaling functions, content, and services (collectively, the "Platform" or "Services").

By accessing or using the Platform, creating an account, or purchasing a subscription, you agree to be bound by these Terms and by our Privacy & Cookie Notice (Section 12), which is incorporated by reference. If you do not agree to these Terms, you must not access or use the Platform.

We may update these Terms from time to time. Changes become effective when posted on the Platform. Continued use after changes constitutes acceptance of the revised Terms.

1. Definitions

For the purposes of these Terms:

• Company / PropGuard / we / us / our: The operator of the PropGuard Platform and Services.
• Platform: The PropGuard website, web application, and any related digital medium through which Services are delivered.
• Services: All Platform features including (without limitation) dashboard, account tracking, challenge and funded-phase tracking, trade journaling, statistics, performance analytics, rules monitoring, and settings.
• User / you: Any individual or entity accessing or using the Platform.
• Account: A unique profile created by a User to access the Platform.
• Content: Any text, data, analytics output, images, graphics, templates, software, code, and other materials provided by the Company or Users on or through the Platform.
• User-Generated Content: Any content you submit to the Platform (e.g., journal notes, tags, uploads, commentary, attachments, imported trade files).
• Third-Party Services: Services and products offered by third parties that may be linked to, integrated with, or connected to the Platform (e.g., trading platforms, data providers, charting providers, authentication providers, payment processors).
• Subscription: Paid access to a tier of Services.
• Fees: Subscription prices and other charges displayed on the Platform.

2. Eligibility

By using the Platform, you represent and warrant that:

• You are at least 18 years old (or the age of majority in your jurisdiction).
• You have the legal capacity to enter into these Terms.
• Your use of the Platform complies with all applicable laws and regulations.
• You are accessing the Platform from a jurisdiction where such access is lawful.
• All information you provide is true, accurate, and complete, and you will keep it updated.

3. Accounts

3.1 Account Registration

To access certain features, you must create an Account. You agree to:

• Provide accurate, complete, and current information
• Maintain the security and confidentiality of your credentials
• Accept responsibility for all activity under your Account

3.2 Single Sign-On and Communications

If you register or log in via Single Sign-On (e.g., Google), your email address may be used for:

• Essential service communications (security notices, billing, changes to Terms)
• Product updates and newsletters where you have opted in or where permitted by law

You may unsubscribe from marketing emails at any time. Essential communications may still be sent.

3.3 Account Responsibilities

You are responsible for:

• Maintaining accurate payment details
• Promptly notifying us of suspected unauthorized access
• Ensuring your device and network security

3.4 Suspension or Termination

We may suspend or terminate your Account if:

• You violate these Terms
• Payment fails or is disputed without valid basis
• We detect misuse, fraud, automated abuse, or security risks
• Your activity could harm the Platform, other users, or third parties

4. Subscriptions, Fees, and Billing

4.1 Subscription Tiers

The Platform is offered through subscription tiers. Tier features are described on the Platform and may change over time.

4.2 Fees and Taxes

Fees are displayed before purchase. Applicable taxes may be added where required by law.

4.3 Payment Processing

Payments are processed by third-party providers. You authorize the Company and/or its payment processor to charge your selected payment method.

4.4 Price Changes

We may change pricing or tier features. Where required by law, we will provide reasonable notice before changes apply to your next billing cycle.

4.5 Free Trials and Promotions

Free trials or promotions may be offered. Unless otherwise stated:

• Trials are limited to one per user
• Access may be modified or terminated at our discretion
• Trials convert to paid subscriptions if not canceled before the trial ends, where disclosed at signup

5. Cancellation, Refunds, and Chargebacks

5.1 Cancellation

You may cancel your subscription at any time through your account settings or by contacting support. After cancellation:

• Your subscription remains active until the end of the current billing period
• You will not be charged for subsequent periods

5.2 Refund Policy

Unless mandatory consumer laws require otherwise, all subscription fees are non-refundable, including:

• Partial-period refunds
• Refunds for unused time
• Refunds due to lack of usage

5.3 Billing Errors

If you believe you were charged incorrectly, you must contact us within 30 days of the charge. Confirmed billing errors will be corrected.

5.4 Exceptional Refunds

We may issue refunds at our sole discretion in limited circumstances (e.g., duplicate charges or material service unavailability). This does not create an ongoing obligation.

5.5 Chargebacks

Initiating a chargeback without first contacting support may result in suspension or termination of your Account.

6. Platform Services and Scope

6.1 Nature of Services

PropGuard provides tools designed to help traders manage and analyze trading performance across multiple accounts and proprietary trading firms.

6.2 No Financial Advice / No Trade Execution

The Platform is a technology tool. We do not:

• Provide investment or trading recommendations
• Provide individualized advice
• Guarantee outcomes
• Act as broker, agent, or fiduciary
• Execute trades on your behalf

6.3 Data Accuracy

Analytics depend on data provided or imported. We do not guarantee:

• Accuracy of third-party data
• Error-free integrations
• Matching reports with third-party systems

7. Third-Party Services

Your use of third-party services is governed by their respective terms. We are not responsible for their availability, performance, security, or policies.

You represent that you have the right to connect any third-party accounts linked to PropGuard.

8. Acceptable Use

You agree not to:

• Violate laws or regulations
• Reverse engineer or extract source code
• Scrape or harvest data without consent
• Use bots that create undue load
• Upload malware or attempt unauthorized access
• Impersonate others or commit fraud
• Infringe intellectual property or privacy rights
• Resell or commercially exploit the Platform without permission

We may investigate and take appropriate action, including termination.

9. Intellectual Property

All intellectual property rights in the Platform are owned by or licensed to the Company.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Platform in accordance with these Terms.

You retain ownership of your User-Generated Content but grant us a license to host and process it for operating and improving the Services.

10. Disclaimers

The Platform is provided "as is" and "as available."

To the maximum extent permitted by law, we disclaim all warranties, including merchantability, fitness for a particular purpose, non-infringement, and accuracy.

Trading financial instruments involves substantial risk. We are not liable for trading losses.

11. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for indirect, incidental, special, consequential, or punitive damages
• Our total liability will not exceed the total Fees paid by you during the 12 months preceding the claim

Certain jurisdictions may not allow some limitations.

12. Privacy & Cookies

We collect identification data, technical data, trading-related metadata, and subscription information necessary to operate the Services.

We do not collect brokerage login passwords or execute trades.

Data is processed for service delivery, security, analytics, support, and legal compliance.

Where applicable (e.g., GDPR), processing is based on contractual necessity, legal obligations, legitimate interests, or consent.

We use cookies for authentication, functionality, and analytics. You may control cookies through browser settings.

Users may have rights to access, correct, delete, or restrict personal data depending on jurisdiction.

13. Data Processing

Where we process personal data on behalf of users:

• We act only on documented instructions
• We maintain confidentiality and security measures
• We assist with data subject requests where legally required
• We may use sub-processors under appropriate safeguards
• Data will be deleted or anonymized upon termination unless retention is legally required

14. Indemnification

You agree to indemnify and hold harmless the Company and its affiliates from claims arising out of:

• Your violation of these Terms
• Your misuse of the Platform
• Your User-Generated Content
• Your violation of third-party rights

15. Termination

We may suspend or terminate access for violations or non-payment.

You may terminate your Account at any time.

Upon termination, access to Services may cease immediately.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the jurisdiction in which the Company is established.

Parties agree to attempt good faith negotiation before initiating formal legal proceedings.

Disputes will be resolved in the competent courts of the Company's principal place of business unless otherwise required by applicable law.

17. Third-Party Links

We are not responsible for third-party websites or services linked from the Platform.

18. Miscellaneous

• If any provision is unenforceable, the remainder remains valid
• Failure to enforce a provision is not a waiver
• These Terms constitute the entire agreement regarding the Platform
• We may assign these Terms in connection with a merger or acquisition
